Agreement Between User and Inciteful App, LLC

Welcome to Inciteful. These Terms of Use (“Terms”) apply to all websites and services operated by Inciteful App, LLC (“Inciteful,” “we,” “us,” or “our”), including but not limited to:

inciteful.app – used by registered users (“Earners,” “Coaches,” and “Startups”) for account access, surveys, coaching sessions, and Expertise-as-a-Service functionality;
inciteful.coach – marketing and informational website for individuals interested in participating as coaches or earning professional development opportunities; and
incitefulapp.com – marketing and informational website for startups, teams, and organizations interested in Inciteful’s B2B services.

Collectively, these sites and any related applications or services are referred to as the “Sites.”

By accessing or using any of the Sites, you agree to comply with and be bound by these Terms and our Privacy Policy, which together govern your relationship with Inciteful. If you do not agree with any part of these Terms, you must not use the Sites or Services.

Purpose of the Sites

Inciteful operates the Sites to (i) provide marketing and informational content about its services, (ii) enable users to register, access, and participate in the Inciteful platform at inciteful.app, and (iii) facilitate the exchange of insights, mentorship, and expertise between users and Inciteful’s experts (“Growth Catalysts”).

Growth Catalysts and Coaches

Growth Catalysts and Coaches engaged by Inciteful are independent professionals. Nothing in these Terms shall be construed to create any employment, partnership, or joint-venture relationship between Inciteful and such individuals. Inciteful is not responsible for any advice, opinions, or services they provide.

Startup Accounts

If you access the Sites on behalf of a company or organization (“Startup”), you represent that you have authority to bind that entity to these Terms. The Startup will be responsible for all activity conducted under its account and for ensuring its team members comply with these Terms.

Electronic Communications
Visiting any of the Sites or sending emails to Inciteful constitutes electronic communications. You consent to receive electronic communications and agree that all agreements, notices, disclosures, and other communications provided electronically satisfy any legal requirement that such communications be in writing.

Your Account
If you use the Sites, you are responsible for maintaining the confidentiality of your account credentials and for restricting access to your device or computer. You accept responsibility for all activities that occur under your account. Inciteful reserves the right to refuse or cancel service, terminate accounts, or remove or edit content in its sole discretion.

Earner Accounts. If you participate as an “Earner” by completing surveys or other activities to receive tokens or rewards, you may maintain only one account per individual human being. Creating multiple accounts, using multiple email addresses, or otherwise attempting to circumvent account restrictions is strictly prohibited. You agree that all information you provide is truthful and accurate. Misuse of accounts, including duplicate accounts or impersonation, constitutes a material breach of these Terms.

Children Under Thirteen
Inciteful does not knowingly collect, either online or offline, personal information from persons under the age of thirteen. If you are under 18, you may use www.incitefulapp.com only with permission of a parent or guardian.

Links to Third Party Sites/Third Party Services
The Sites may contain links to other websites (“Linked Sites”). The Linked Sites are not under the control of Inciteful, and Inciteful is not responsible for their content, practices, or policies. Links are provided only for convenience and do not imply endorsement.

Certain services available via the Sites are delivered by third-party providers. By using such services, you consent to Inciteful sharing relevant data with those providers for legitimate operational purposes.

No Unlawful or Prohibited Use/Intellectual Property
You are granted a non-exclusive, non-transferable, revocable license to access and use the Sites in accordance with these Terms. You agree not to use the Sites for any unlawful or prohibited purpose.

You will not modify, publish, transmit, reverse engineer, participate in the transfer or sale, create derivative works, or otherwise exploit any content found on the Sites.

All content, including text, graphics, logos, and software, is the property of Inciteful or its suppliers and protected by copyright and intellectual property laws. No license or ownership rights are granted except as expressly authorized by these Terms.

Valid Submissions. Earners agree that all survey responses or submissions must be made in good faith and meet reasonable quality standards. Examples of invalid submissions include but are not limited to:

Duplicate or substantially similar responses
Responses generated by automated tools or AI
Incoherent, nonsensical, or irrelevant answers
Submissions completed in unreasonably short time frames suggesting lack of genuine effort

Inciteful reserves the right, in its sole discretion, to review, audit, or reject any submission that does not meet these standards.

Ownership of Submissions

By submitting survey responses, feedback, or other content, you grant Inciteful a non-exclusive, perpetual, irrevocable, royalty-free, worldwide license to use, reproduce, modify, distribute, and create derivative works from such content in anonymized or aggregated form for research, analytics, and product improvement.
You retain ownership of your original content, but Inciteful owns all aggregated or derived data.

Prohibited Conduct. In addition to any other restrictions in these Terms, you agree not to:

Attempt to interfere with, disrupt, or compromise the security or integrity of the Sites or Services;
Harass, abuse, or harm other users or Inciteful personnel;
Submit unlawful, infringing, defamatory, or otherwise harmful material;
Attempt to reverse engineer, decompile, or gain unauthorized access to the Sites;
Circumvent or attempt to circumvent any fraud-prevention, monitoring, or quality-control measures.

Compliance With Law. You agree to comply with all applicable local, state, national, and international laws and regulations in connection with your use of the Sites and participation as an Earner.

International Users
The Services are controlled and operated from the United States. If you access the Sites from outside the U.S., you are responsible for compliance with all local laws.

Rewards and Tokens

Conditional Grant. Tokens or rewards are issued only for submissions accepted by Inciteful as valid.
Right to Withhold or Revoke. Inciteful may, at its sole discretion, withhold issuance of tokens or revoke tokens already granted if: (a) your account violates these Terms; (b) fraudulent, duplicate, or invalid submissions are detected; or (c) multiple accounts or false identities are used.
Audit Period. Tokens remain subject to revocation during a reasonable audit period after issuance.
Finality. Inciteful’s determinations regarding the validity of submissions, and the withholding, revocation, or adjustment of tokens, shall be final and binding.
No Guarantee. Participation as an Earner does not guarantee any minimum number of surveys, opportunities, or earnings. Tokens are non-transferable and may not be sold or exchanged except as expressly permitted by Inciteful.

No Cash Value; No Employment Relationship. Tokens or rewards have no cash value, are not legal tender, and may not be redeemed for money except as expressly permitted by Inciteful. Tokens do not represent wages, compensation, or income, and participation as an Earner does not create any employment, contractor, or agency relationship between you and Inciteful.

Program Changes. Inciteful may, at its discretion, modify, suspend, or discontinue the Earner program or token system at any time, with or without notice. You acknowledge that you have no vested rights in any ongoing availability of surveys, tokens, or redemption opportunities, and Inciteful shall have no liability to you for any modification or termination of the program.

Expiration of Tokens. Unless otherwise specified in writing by Inciteful, tokens may expire if your account is inactive for a continuous period of twelve (12) months. Tokens may also expire upon termination of the Earner program. Expired tokens are forfeited and may not be reinstated.

Session Conduct and Attendance Policy

To ensure a respectful, transparent, and productive experience for all participants, the following rules apply to all sessions conducted through Inciteful — including Coaching sessions (Earners + Coaches) and Growth Catalyst sessions (Startups + Catalysts).

Professional Conduct. All participants agree to maintain professionalism, courtesy, and respect during all interactions. Abusive, discriminatory, harassing, or otherwise inappropriate behavior toward any user, Coach, Growth Catalyst, or Inciteful staff is prohibited. Inciteful may suspend or terminate access and revoke tokens or credits for violations.

Attendance, Cancellations, and No-Shows

Scheduling: All sessions must be booked through approved Inciteful systems.
Cancellations or Reschedules: Must be made at least 24 hours in advance. Each session may be rescheduled only once without penalty.
Token or Credit Restoration: Tokens or credits from valid cancellations (24+ hours notice) are generally restored within 24 hours of cancellation.
No-Shows: Missing a session without notice constitutes a no-show and may result in:
- Earners: forfeiture of redeemed tokens;
- Startups: forfeiture of session credit or deduction from token balance.
Repeated No-Shows: Two or more within a 60-day period may lead to suspension or loss of scheduling privileges.
Late Arrivals: More than 10 minutes late may be considered a no-show at the Coach or Catalyst’s discretion.
Emergency Exceptions: Verified emergencies may be exempted at Inciteful’s discretion.

Coach and Growth Catalyst Conduct. Coaches and Growth Catalysts must demonstrate professionalism, punctuality, and preparedness. Repeated late cancellations, unresponsiveness, or inappropriate conduct may result in removal or withholding of payment. All sessions and communications must occur within the Inciteful platform unless otherwise authorized in writing.

Recording and Confidentiality. Sessions may be recorded or monitored for quality and dispute resolution. Recordings are confidential and used only by Inciteful for internal purposes. Participants may not record, copy, or distribute session content without written consent from Inciteful and all involved parties.

Dispute Resolution for Sessions. Users disputing a no-show or cancellation must contact support@incitefulapp.com within 7 days. Inciteful will review and make a final determination.

Token and Credit Forfeiture. Tokens or credits redeemed for sessions canceled with less than 24 hours’ notice, missed without notice, or violating this policy are non-refundable.
Inciteful may restore forfeited tokens or credits only in verified emergency or system-error cases.

Coach Invite Codes and Referral Attribution. Coaches may be provided with unique invite codes or referral links to share with Earners they personally recruit to join the platform.

To ensure accurate tracking and fair application of associated fee structures:

Earners must enter the Coach’s invite code during onboarding or registration.
If an Earner forgets to submit the code during onboarding, the invite code may be manually applied by Inciteful if requested within the first sixty (60) days after the Earner’s account creation.
After sixty (60) days, Inciteful will not retroactively apply invite codes, and any associated changes to transaction fees, commissions, or rewards for the Coach will be waived and deemed forfeited.
Inciteful retains sole discretion to verify the validity of invite codes and to deny requests that do not meet eligibility or timing requirements.

This policy ensures fairness and consistency across all Coach-related earnings and protects against retroactive adjustments.

Monitoring and Fraud Prevention

You acknowledge and agree that Inciteful may monitor account activity—including IP addresses, device identifiers, submission timing, and content patterns—for fraud detection and quality control. You agree to cooperate with Inciteful in investigations of suspicious activity. If you believe tokens were improperly withheld or revoked, you may contact support@incitefulapp.com for internal review. Inciteful’s decision will be final.

Indemnification
You agree to indemnify, defend, and hold harmless Inciteful, its officers, directors, employees, agents, and affiliates from any losses, liabilities, damages, or expenses (including reasonable attorneys’ fees) arising from your use of the Sites, violation of these Terms, or infringement of third-party rights.

Arbitration
All disputes arising out of or related to these Terms shall be resolved by final and binding arbitration under the Federal Arbitration Act, conducted by a single neutral arbitrator through the American Arbitration Association or similar service. The arbitrator’s decision shall be final, and judgment may be entered in any court with jurisdiction.

Class Action Waiver
Any arbitration shall be conducted on an individual basis only. Class, collective, or representative actions are not permitted.

Liability Disclaimer
THE SITES AND ALL SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND. INCITEFUL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
INCITEFUL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES ARISING FROM THE USE OR INABILITY TO USE THE SITES OR SERVICES.

Termination/Access Restriction
Inciteful may terminate or suspend access to any part of the Sites at any time, without notice, for conduct that violates these Terms or is otherwise harmful. For Earners, Inciteful may suspend or terminate accounts and revoke tokens if suspicious, fraudulent, or non-compliant activity is detected.

This Agreement is governed by the laws of the State of Delaware, without regard to conflict of law principles.

Changes to Terms
These Terms apply to all visitors, registered users, and entities accessing any Inciteful Site. Certain features (such as Earners completing surveys or Startups using Expertise-as-a-Service) may be subject to additional terms or policies that supplement these Terms.

Inciteful reserves the right to modify these Terms at any time. Updated versions will be posted on the Sites with a revised effective date. Your continued use of the Sites after such updates constitutes acceptance of the new Terms.

Relationship to Privacy Policy

Your use of any Inciteful Site is also governed by our Privacy Policy, which describes how we collect, use, and protect your information across inciteful.app, inciteful.coach, and incitefulapp.com. Please review it carefully.
